These Terms of Service ("Terms") govern your access to and use of the QuietCut software and website (the "Service") operated by HAMY LABS LLC ("we," "us," "our"). By purchasing, downloading, or using the Service, you agree to these Terms.
1. License Grant
Upon purchase, we grant you a non-exclusive, non-transferable, revocable license to install and use QuietCut on devices you personally own or control, for your own personal or internal business use. This license does not transfer ownership of the software.
2. Permitted Use
You may use QuietCut to process video and audio files you own or have the right to edit. You are solely responsible for ensuring you have the necessary rights to any content you process.
3. Restrictions
You may not:
- Redistribute, resell, sublicense, or publish the software or your license key.
- Reverse-engineer, decompile, or attempt to derive source code, except where such restriction is prohibited by applicable law.
- Remove or alter copyright notices or license terms.
- Use the Service in a manner that violates applicable law.
4. Payment and Refunds
QuietCut is sold as a one-time purchase, processed securely by our payment provider, Stripe. All prices are listed on the site at the time of purchase. If the Service does not work as described, contact us at support@quietcut.net within 30 days of purchase and we will issue a full refund.
5. License Keys
After purchase, we issue you a license key valid for activating the desktop application. The application validates your key periodically with our servers and supports an offline grace period. Keep your license key confidential — unauthorized sharing may result in license revocation.
6. Updates
Your purchase includes access to future updates to the software at our discretion. We do not guarantee specific update schedules or features, but will make a reasonable effort to keep the Service compatible with current operating systems.
7. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, HAMY LABS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits arising from your use of the service. Our total liability to you for any claim will not exceed the amount you paid us in the twelve months preceding the claim.
9. Termination
We may suspend or revoke your license if you breach these Terms. You may stop using the Service at any time. Sections 7, 8, 10, and any terms that by their nature should survive, will survive termination.
10. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles.
11. Changes to These Terms
We may revise these Terms from time to time. Material changes take effect when posted to this page, and we will update the effective date above. Continued use of the Service after changes take effect constitutes acceptance.
